Terms and conditions
These terms govern services supplied by DMB Solutions GmbH to business customers. Individual offers and contracts prevail.

1. Scope
These terms apply to consulting, engineering, training, project, chemistry, automation, and digital services for business customers. Customer terms apply only if accepted in writing.
2. Contract formation
Website content is non-binding. A contract is formed through an accepted offer, written confirmation, or commencement of agreed work. Scope, dates, fees, and deliverables are defined in the relevant offer or contract.
3. Services
Services are performed professionally based on requirements known when the contract is made. Dates are binding only if expressly agreed. Scope changes may affect schedule and fees.
4. Customer cooperation
The customer provides accurate information, access, contacts, safe working conditions, and approvals in time. Missing cooperation may lead to reasonable schedule and fee adjustments.
5. Fees and payment
Fees, currency, expenses, taxes, payment schedule, and due dates follow the offer or contract. Necessary additional work and expenses may be charged separately. Statutory consequences apply to late payment.
6. Intellectual property
Pre-existing methods, templates, software, models, and know-how remain with their owner. Project rights follow the offer. Unless agreed otherwise, the customer receives a non-exclusive internal business-use right after full payment.
7. Confidentiality
Both parties protect non-public technical, commercial, and operational information and use it only for the contract. Legal disclosure duties and independently known public information remain unaffected.
8. Warranty and liability
Defects must be reported promptly so a reasonable remedy is possible. To the extent permitted by law, liability for slight negligence and indirect loss is excluded. Mandatory liability, including intent and gross negligence, remains unaffected.
9. Term and termination
Term, notice, and consequences follow the individual contract. Termination for cause remains available. Services and commitments incurred up to termination must be paid.
10. Final provisions
Swiss law applies, excluding conflict rules and the UN Convention on Contracts for the International Sale of Goods, subject to mandatory law. Exclusive venue for business customers is the registered office of DMB Solutions GmbH.
